1Parties and effective date
This agreement is between:
- Neal Media & Production ("Neal Media"), 530 West 5th Avenue, North Pole, Alaska, and
- the person and business named in the form at the end of this page, doing business as Black Wolf Tattoo Club ("Client"), 521 6th Avenue, Fairbanks, Alaska 99701.
It starts on the date the Client submits the form below (the "Effective Date").
2Services included
Neal Media will provide and keep running:
- Website at blackwolftattooclub.com: hosting, security updates, uptime monitoring and backups.
- Booking system: request form, quotes, client status pages, scheduling, the staff inbox and logins, and calendar sync.
- Email and text notifications to clients and staff, once texting is approved by the carriers.
- Instagram feed on the site, once the Client connects the account.
- 5 changes a month. A change is one small update that takes up to about 30 minutes: new photos, text, hours, prices, an artist profile, or an event (for example a flash day, guest artist or charity drive). Each change is completed within 3 business days (72 hours) of the request, starting once the Client has provided all needed content and photos. Unused changes don't carry over to the next month.
- Support by text or email, with a reply within 1 business day, and same-day for anything that stops bookings.
- Local SEO: Google Business Profile management, search optimization, review building and monthly rank reporting, as broken down in the SEO clause (Section 6). Local SEO is a required part of this agreement.
Bigger projects (a new section or page, an online store, a new feature, logo or print design) and changes beyond the 5 a month are quoted separately and billed at $75 an hour or a flat price agreed in writing first.
3Fees and payment
The Client picks one plan:

- The fee covers hosting, the booking system, email sending, the 5 included changes a month and the Local SEO work in the SEO clause (Section 6).
- Local SEO ranking bonus: on top of the plan fee, a monthly bonus of $0 to $150 is billed based on the shop's Google Maps ranking, as set out in the SEO clause (Section 6).
- Text messages: carrier registration and per-text charges are included up to 500 texts a month; above that they are billed at cost.
- Domain name: the Client pays its yearly renewal (about $15 a year) directly or through Neal Media at cost.
- Invoices are due within 10 days. If a payment is more than 30 days late, Neal Media may pause the site after written notice, and restores it once paid.
- Neal Media may change prices for a renewal term with 30 days' written notice. Prices don't change during a paid term.
4Term and ending the agreement
- Term: 12 months from the Effective Date.
- Renewal: after 12 months it continues month to month at the then-current monthly price, until either side ends it.
- Ending after the first 12 months: either side gives 30 days' written notice (email counts).
- Ending early: any early termination must be given in writing. If the Client terminates this agreement during the first 12 months, the monthly fees remaining in that term become due; on the yearly plan, no refund is issued. Either party may terminate this agreement if the other party breaches it and fails to resolve the breach within 15 days of receiving written notice describing the breach.
- On ending: Neal Media keeps the site running for 30 days while the Client moves, then hands over what Section 5 lists.
5Ownership
The Client owns the business's identity and data; Neal Media owns the software that runs the site and the booking.

- During the term, Neal Media gives the Client a license to use the website and booking system for Black Wolf Tattoo Club.
- When the agreement ends, the license ends. Within 30 days Neal Media delivers a full export of the Client's booking records (CSV), every photo and piece of written content, and control of the domain.
- Buying the site design: if the Client wants to keep the website's look and pages (not the booking system), Neal Media will sell a copy of that code for a one-time $1,000.
- Neal Media may show the site in its portfolio. Neal Media will not sell or share the Client's client data with anyone.
6SEO clause
Local SEO is a required part of this agreement, not an add-on. It starts on the Effective Date, runs for the full term and any renewal, and can't be dropped on its own. It ends only when this agreement ends.

Local SEO work doesn't use any of the 5 included monthly changes.
6.2 What the Client does
- Gives Neal Media manager access to the shop's Google Business Profile.
- Asks happy clients to leave Google reviews.
- Lets Neal Media know about changes to hours, services or contact details.
6.3 How the ranking is measured
- Neal Media checks where the shop ranks in Google Maps for three searches: "tattoo shop Fairbanks", "tattoo Fairbanks AK" and "tattoo near me", searched from downtown Fairbanks.
- Rankings are checked weekly. The average of that month's checks sets the month's bonus.

6.5 What the Client pays, by plan

6.6 Rules for the bonus
- Cap: the bonus is never more than $150 in a month.
- Paid only when earned: if the average rank is below #5, no bonus is billed and the Client pays only the plan fee.
- No guarantee: Neal Media doesn't promise any ranking. Rankings also depend on reviews, competitors and Google's own changes.
7Other terms
- Client's part: supply accurate content and photos the Client has the right to use, keep staff logins private, and answer booking requests in the inbox.
- Third-party services: the site relies on outside providers (hosting, email, texting, Instagram, calendar apps). Neal Media isn't responsible for their outages or rule changes, but will work to restore service quickly.
- Licensed fonts and images: the Client is responsible for licenses to fonts and artwork it supplies, including the Idaho typeface.
- Limit of liability: neither side is liable for lost profits or indirect damages. Neal Media's total liability is capped at the fees paid in the 12 months before the claim.
- Privacy: both sides follow the site's published privacy and text terms.
- Whole agreement: this is the full agreement; changes must be in writing and signed by both. Alaska law applies. Submitting the form below with a typed name counts as a signature.
